  Construction & Planting Project Co-ordination (CPC) 
  related services:

  YLS will provide the following services upon the completion of a CPC contract: 

Tom Stephens - LA coordinating 
placement of boulders at water falls

Pre-construction services:

bid package distribution to potential bidders

check bidders qualifications and references

bid acceptance and analysis with recommendations to the Owner(s)

negotiations with the successful bidder(s)

preparation and administration of LANDSCAPE CONSTRUCTION & PLANTING CONTRACT(S)

pre-construction conference with all contractor(s) to review the requirements, forms, and participant responsibilities
During construction services:

approval of all layout and staking by the contractor before the start of construction and planting

inspections &/or selection of all materials at nurseries and material suppliers

on-site project inspections of materials and methods of installation by all contractors and subcontractors

completion of an INSPECTION REPORT weekly or as warranted

on-site supervision of special or technical construction, planting, or installation procedures

co-ordination with all contractors, subcontractors, and suppliers

preparation and administration of all CHANGE ORDERS

approval of all PAYMENT REQUESTS forms prior to any payments by the Owner(s) to the contractor(s)

approval of al LIEN WAIVERS or PAID RECEIPTS and AS-BUILT PLANS submitted prior to final payment to the contractor(s) by the Owner(s)
  Construction, Planting, & Maintenance Project Inspection

  YLS will provide the following services upon the completion of a CPMI contract:

MAINTENANCE COORDINATION

BUFFALOGRASS & WATER FEATURE INSPECITON

Pre-start:

bid package distribution to potential bidders

check bidders qualifications and references

bid acceptance and analysis with recommendations to the Owner(s)

negotiations with the successful bidder(s)

preparation and administration of LANDSCAPE MAINTENANCE CONTRACT(S)

pre-start of maintenance operations conference with all contractor(s) to review the requirements, forms, and participant responsibilities
During Maintenance Operations:

approval of all maintenance operations before the start of and during the duration of the contract

regular on-site project inspections of equipment, materials and methods of all contractors and subcontractors

completion of an INSPECTION REPORT per each visit

on-site supervision of special or technical maintenance procedures

co-ordination with all contractors, subcontractors, and suppliers

preparation and administration of all CHANGE ORDERS

approval of all PAYMENT REQUESTS forms prior to any payments by the Owner(s) to the contractor(s)

review and approval of all monthly maintenance reports prior to final payment to the contractor(s) by the
Owner(s)

annual review of maintenance operations and costs with recommendations for future maintenance programs and maintenance contractor(s)
 GENERAL NOTES TO PROJECT CO-ORDINATION & INSPECTION SERVICES CONTRACTS:

A.

Travel by YLS from the studio-office in Littleton, Colorado necessary for conferences, on-site and nursery and materials suppliers inspections, and project co-ordination will be charged to the Owner(s) at the rate per hour currently in force plus travel charges from the time YLS leaves the studio-office headquarters until such time as YLS returns to said headquarters or arrives at another project site.  Billing for project coordination fees and expenses will be at regular monthly intervals or at completion of phases of contracts or as agreed to at the signing of said contracts.

B.

If the Ower(s) chooses to terminate the agreements with YLS, or to abandon the project on which they are working at any stage of its development, YLS shall be compensated at the rate per hour currently in force for all services performed for the Owner(s), up to and including the time of the receipt of written notification from the Owner(s) to terminate the project.  The fee for the terminated services shall not exceed the total per the signed PROJECT CO-ORDINATION CONTRACT.  Credit will be given for any payments received by YLS prior to notification and the balance will be invoiced immediately and payment will be expected within 30 days.

C.

If YLS chooses to terminate the PROJECT CO-ORDINATION CONTRACT with the Owner(s),
YLS shall notify them in writing and return any portion of payments made less the rate per hour currently in force for all services performed for the Owner(s) and do so within 30 days of such written notification.

  FEES FOR SERVICES:

A.

Construction & Planting Project Co-ordination Services fees are as follows:
1. At the rate of ___% of the total construction costs based on an estimated budget at the signing of this CONTRACT, with adjustments for the total cost at the completion of the project.
2. At the hourly rate of $150.
3. At the lump sum fee based on an estimate of hours to be spent inspecting and supervising on-site construction and planting activities.

B.

Construction, Planting, & maintenance Project Inspection Services fees are as follows:
1.

At the hourly rate of $150.

2.

At the lump sum fee based on an estimate of hours to be spent inspecting and supervising on-site construction and planting activities.

C.

Maintenance Project Co-ordination Services fees are as follows:

1. At the rate of ___% of total maintenance costs based on an estimated budget at the signing of the contract, with adjustments for the total costs at the completion of the project.
2. At the hourly rate of $150
3. At the lump sum fee based on an estimate of hours to be spent inspecting and supervising on-site maintenance activities.

  PAYMENT FOR SERVICES:

A.

Project Co-ordination Services shall be paid for as follows:

1. 25% Retainer at the signing of the contract.
2. 25% at the completion of the Bid Anlysis.
3. 25% at 50% completion of the project.
4. 25% at final completion of the project.
B.

Project Inspection Services and Maintenance Project Co-ordination Services shall be baid as follows:

1.

25% Retainer at the signing of the contract.

2.

Balance will be due from monthly invoices of hours @ $150 per hour.

C.

Other payment arrangements may be negotiated and agreed upon prior to the signing of the appropriate contract

D.

All accounts are payable and due upon completion of a specific phase and/or the presentation of an invoice and become past due 30 days from the date of invoice.  A 2% per month service charge will be assessed for all late payments unless prior arrangements have been made by Owner(s) with YLS.
